Terms of Service (User Agreement)

These Terms of Service are also the User Agreement (“Terms”) between you and Joshua Levine, the Florida-based operator of Director's Canvas (“Director's Canvas,” “we,” “us,” or “our”). They govern your access to and use of the Director's Canvas website, private-beta workspace, AI features, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and acknowledge the Privacy Policy.

You must be at least 18 and legally capable of entering a binding agreement. If you use the Service for a company or other organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Service.

Director's Canvas is an invite-only, currently free beta for AI-assisted music-video pre-production. It helps creators develop treatments, visual bibles, timelines, storyboards, prompts, generated panels, and export packages. It does not produce or publish a finished music video for you.

Beta features may be incomplete, change without notice, contain errors, or become unavailable. Access is not guaranteed, and we may add usage limits, waitlists, paid plans, or new conditions later. We will provide notice and obtain any agreement required before charging you.

You must provide accurate account information, keep your sign-in credentials and devices secure, and promptly notify us of suspected unauthorized use. Invitations and accounts are personal unless we approve an organizational arrangement; you may not sell, share, or transfer access.

You are responsible for activity under your account to the extent permitted by law. We may use authentication and verified-email controls, an invitation allowlist, rate limits, and other safeguards to protect the Service.

You retain whatever ownership rights you have in content you submit, upload, or create (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, adapt, transmit, display to you, and otherwise use Your Content only as reasonably necessary to provide, secure, maintain, and support the Service; comply with law; and enforce these Terms. This license ends when the relevant content is deleted, except for limited backups, legal retention, and content already lawfully shared at your direction.

As between you and Director's Canvas, and to the extent the law allows, you may use AI-generated outputs from your projects, including commercially. We do not claim ownership of those outputs. Your use remains subject to applicable law and any terms imposed by the underlying model or external tool provider.

AI outputs may not qualify for copyright, may resemble material produced for others, and may include errors or third-party material. We do not promise that an output is unique, protectable, non-infringing, or cleared for commercial release. You are responsible for review and any licenses, releases, permissions, credits, or legal clearance your use requires.

You represent and agree that:

• you own or have sufficient permission to use and submit all music, recordings, lyrics, scripts, images, designs, trademarks, voice, name, likeness, performance, and other materials in Your Content;
• Your Content and use of outputs will not violate law, contracts, privacy, publicity, or intellectual-property rights;
• you will obtain all performer, location, synchronization, master-use, and other releases your production needs;
• you will not submit passwords, payment-card data, government identifiers, medical records, or other regulated or highly sensitive information; and
• you are responsible for backing up important content and exported production materials.

AI systems are probabilistic and may produce inaccurate, biased, unsafe, incomplete, or unexpected results. Prompts, generated text, and panels are creative proposals, not facts or final decisions. Director's Canvas keeps approvals with the user, but you remain responsible for reviewing everything before relying on, publishing, generating from, or distributing it.

The Service does not provide legal, medical, financial, safety, or other professional advice. Do not rely on it for high-impact decisions or as a substitute for qualified professional review. Our handling of AI request data is described in the Privacy Policy.

You may not use or attempt to use the Service to:

• break the law, infringe rights, deceive or defraud people, or facilitate harmful or abusive conduct;
• create non-consensual sexual content, exploit minors, or create deceptive impersonations or likeness-based media without adequate rights and disclosure;
• harass, threaten, discriminate against, exploit, or expose private information about another person;
• upload malware, probe or bypass security, evade limits, interfere with the Service, or access another user's data;
• scrape, resell, benchmark for competitive publication, reverse engineer, or use automated access except through functionality we expressly permit; or
• violate the acceptable-use or safety rules of Vercel AI Gateway or an underlying model provider.

We may investigate suspected violations and remove content, restrict a feature, or suspend access when reasonably necessary to protect the Service, users, providers, or the public.

The Service can prepare files and prompts for third-party tools such as model, image, video, and editing products. Those products are independent and have their own terms, pricing, licenses, privacy practices, safety rules, and technical limits. We do not control or endorse their results. You decide whether to send an export to them and are responsible for complying with their terms and confirming that an export contains only material you are authorized to share.

We and our licensors retain all rights in the Service itself, including its software, interface, visual design, workflow, documentation, trademarks, and other materials, excluding Your Content and your rights in AI outputs. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service during the beta in accordance with these Terms.

If you voluntarily provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it to operate and improve the Service without identifying you or owing compensation. This does not give us rights to use Your Content for model training.

You may stop using the Service at any time and may delete individual projects through the workspace. Project deletion does not close your authentication account or delete all account-level information. To request full account closure, email joshuaalevine3@gmail.com.

We may suspend or terminate access, remove content, or preserve evidence if you materially breach these Terms, create legal or security risk, abuse providers, or if the beta is discontinued. When practical, we will give notice and a chance to export content, but immediate action may be necessary. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute terms—will survive.

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Director's Canvas disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and that content will not be lost. We do not warrant any AI output, provider, production result, commercial outcome, or uninterrupted beta access. Some jurisdictions do not allow certain disclaimers, so they apply only to the extent permitted.

To the fullest extent permitted by law, Director's Canvas and Joshua Levine will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, productions, or replacement services, arising from or related to the Service, even if advised that such damages are possible.

Our total aggregate liability for all claims arising from or related to the Service will not exceed the greater of US $100 or the amount you paid us for the Service during the 12 months before the event giving rise to the claim. These limits do not exclude liability that cannot lawfully be excluded, and they apply only to the maximum extent permitted by applicable law.

We may update these Terms as the Service changes. We will post the revised Terms with a new effective date and provide additional notice where required. Material changes apply prospectively. Your continued use after an update takes effect means you accept the revised Terms; if you do not agree, stop using the Service and request account closure.

Florida law governs these Terms and disputes arising from them, without regard to conflict-of-law rules, except where your local law requires otherwise. Disputes may be brought in a state or federal court in Florida that has jurisdiction, and each party consents to those courts to the extent permitted by law.

These Terms do not require mandatory arbitration and do not contain a class-action waiver. Before filing a claim, each party should make a good-faith effort to resolve it informally by sending a written description to the contact below and allowing 30 days for a response. Either party may seek urgent injunctive relief when necessary.

These Terms and the Privacy Policy are the entire agreement about the Service and replace prior discussions about it. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them with a transfer of the Service. Headings are for convenience only.
